Notice of NPBA Bylaws Amendment Vote on April 11, 2024

The Executive Committee of the Norfolk Portsmouth Bar Association is in the process of reviewing the organization’s Bylaws. There are numerous outdated provisions that require amendment. One such provision requires an in person vote of the organization’s members to amend the Bylaws themselves. Given the size of the NPBA and the infrequency of large gatherings, the E.C. wishes to amend the Bylaws to allow amendment by the E.C. with proper advance notice to the membership of proposed changes to maximize the notice to the membership and allow for dialogue should any questions or concerns be had by members. To that end, the NPBA will be moving for a vote at the Bench Bar Conference on April 11, 2024, for the following Bylaws amendment:

There will be a meeting of the membership at the NPBA Bench Bar Conference on April 11, 2024. The following amendment to Article XIV of the NPBA Bylaws will be presented to the membership for a vote:

ARTICLE XIV – AMENDMENTS

These By-Laws may be amended by two-thirds (2/3) vote of the Active Members present at any meeting of the Association, provided that notice thereof be posted in the Association’s Library not less than five (5) days prior to said meeting and written notice that amendments to the By-Laws are to be considered be given to all members at least two (2) days prior to said meeting.

ARTICLE XIV – AMENDMENTS

These By-Laws may be amended by two-thirds (2/3) vote of the total members of the Executive Committee of the Norfolk Portsmouth Bar Association at a scheduled meeting, provided that written notice of the vote to amend the By-Laws with the proposed amendments be (1) posted on the NPBA website and (2) circulated by email to the NPBA membership at least 30 days in advance of the scheduled vote to allow review and comment by the membership.
