"The Bright Light of the Corporate Transparency Act"

Summary:

The Corporate Transparency Act (“CTA”) is a relatively new law that takes effect on January 1, 2024, and requires, for the first time, filings to be made to the federal government for new (and existing) entities. The purpose of the CTA is to establish a “clear, universal standard” for incorporation practices and to protect U.S. national security interests by reducing U.S. vulnerability to wrongdoings by entities with hidden owners.

 This presentation will discuss the following:

  • The CTA’s broad application (applies not only to the formation of new companies, but also retroactively applies to existing companies).
  • The purpose of the CTA.
  • The CTA’s general reporting requirements for “Reporting Companies,” “Beneficial Owners,” and “Company Applicants.”
  • Entities that are exempt from the CTA’s reporting requirements.
  • Civil and criminal penalties for failure to file a timely report.
